1. Introduction and Acceptance
These Terms & Conditions ("Terms") govern your access to and use of the website, no-code automation platform, and related services (together, the "Services") provided by INTELLIGENCE AI LTD, a company registered in England and Wales under company number 17356575 ("we", "us", "our").
By accessing our website, creating an account, or purchasing a platform plan, you confirm that you accept these Terms and agree to be bound by them. If you do not agree to these Terms, you must not use our website or Services. If you are accepting these Terms on behalf of a business, you confirm you have authority to bind that business.
2. Definitions
- "Platform" means our no-code automation software, including its dashboard, workflow builder, integrations, analytics, and hosting features.
- "Account" means the account you create to access and use the Platform.
- "Plan" means the specific platform package you purchase, as described on our Pricing page.
- "Content" means workflows, configurations, data, and other material you create, upload, or connect through the Platform.
- "Order" means a purchase of a Plan or service completed through our checkout, processed via Stripe.
3. The Platform and Services
INTELLIGENCE AI LTD provides access to a no-code platform for building workflows, connecting third-party services, optimizing business processes, analyzing performance, and hosting business applications. The exact features, limits, and support included depend on the Plan you purchase, as described on our Pricing page and in your Order confirmation.
We may add, modify, or discontinue individual Platform features from time to time to improve reliability, security, or functionality. Where a change materially reduces the core functionality of a Plan you have purchased, we will give you reasonable notice where practicable.
4. Eligibility and Account Registration
- You must be at least 18 years old and have the legal capacity to enter into a binding contract.
- You must provide accurate, current, and complete information when creating an Account and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account.
- You must notify us promptly at info@intelligenceailtd.com if you suspect unauthorized use of your Account.
5. Your Responsibilities
When using the Platform, you agree to:
- Use the Platform only for lawful business purposes and in accordance with these Terms;
- Ensure you hold all necessary rights and permissions for any third-party services, data, or accounts you connect to your workflows;
- Not use the Platform to process special category data, financial account credentials, or other sensitive data unless you have an appropriate legal basis and adequate safeguards in place;
- Not attempt to reverse-engineer, decompile, resell, or sublicense the Platform without our written consent;
- Not use the Platform to transmit spam, malware, or unlawful content, or to infringe the rights of any third party.
In addition, you must not use the Platform in connection with businesses or activities that Stripe or other payment networks classify as prohibited or high-risk, including but not limited to: adult content, gambling, illegal drugs or substances, weapons, counterfeit goods, pseudo-pharmaceuticals, pyramid or ponzi schemes, unlicensed financial services, debt collection, credit repair, or any activity that would require us to act as a money transmitter, payment facilitator, or aggregator. We may suspend or terminate any Account that we believe is linked to such activity.
6. Pricing and Payment
6.1 Pricing
Plan prices are displayed in EUR on our Pricing page and at checkout. Prices may be updated from time to time, but any change will not affect an Order you have already completed. Charges from third-party services you connect to your workflows (for example, CRM or messaging subscriptions) are billed separately by those providers and are not included in our pricing.
6.2 Payment Processing via Stripe
All payments are processed securely through Stripe, Inc., a PCI DSS Level 1 certified payment processor. When you complete an Order, your card details are entered directly into Stripe's hosted checkout and are transmitted to Stripe, not to us. We do not receive, view, or store your full card number, CVC, or expiry date. Stripe's own terms and privacy practices, available at stripe.com, apply to the payment service it provides.
6.3 Taxes
Prices displayed may exclude applicable VAT or other taxes, which will be calculated and added at checkout where required by law based on your billing location.
6.4 Order Confirmation and Activation
Your Order is confirmed once payment has been successfully processed by Stripe. Platform access or Plan activation typically follows shortly after confirmation, as described on our Pricing and Purchase Conditions pages.
6.5 Stripe's terms and your payment obligations
Your use of Stripe's payment services is subject to Stripe's own terms of service and privacy policy. You agree to provide accurate billing information, not to use a payment method you are not authorised to use, and to cooperate with any reasonable request we or Stripe make to resolve payment issues. You remain responsible for any charges you incur until your Account is properly closed or cancelled.
6.6 Disputes and chargebacks
If you initiate a payment dispute or chargeback without first attempting to resolve the issue with us, we may suspend or terminate your Account. We reserve the right to dispute invalid chargebacks and to recover any associated fees or losses. For genuine billing concerns, please contact us via the contact page.
7. Refunds and Cancellation
Refund eligibility depends on your Plan, account status, and the timing of your cancellation request, as set out in our Refund & Cancellation Policy. To request a refund or cancellation, contact us via the contact page.
7.1 Consumer cancellation rights
If you are a consumer resident in the United Kingdom, you may have a statutory right to cancel a distance contract within fourteen (14) days, subject to applicable law. This right may be affected once you access or use the Platform, or where a service has been fully performed with your prior express agreement. The exact terms of any cooling-off period are set out in our Refund & Cancellation Policy.
7.2 Business customers
If you are purchasing on behalf of a business, your cancellation and refund rights are governed by the Plan terms and our Refund & Cancellation Policy, and statutory consumer rights do not apply.
7.3 Refund method
Approved refunds will normally be issued to the original payment method used at checkout, via Stripe, within the timeframe stated in our Refund & Cancellation Policy and as permitted by Stripe's processing cycle. We are not responsible for delays caused by your bank or card issuer.
8. Intellectual Property
All content on our website and Platform — including text, graphics, logos, software, product materials, and design — is owned by or licensed to INTELLIGENCE AI LTD and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, or distribute this content without our prior written permission.
As between you and us, you retain ownership of the workflows, configurations, and business Content you create using the Platform. You grant us a limited license to host, store, process, and display that Content solely as necessary to provide and support the Services, subject to the applicable Plan and Account terms and our Privacy Policy.
9. Third-Party Services and Integrations
The Platform allows you to connect third-party tools and services (for example, CRM systems, spreadsheets, messaging platforms, and payment tools) to build automated workflows. These third-party services are governed by their own terms and privacy policies, and we are not responsible for their availability, performance, security, or content. You are responsible for ensuring your use of connected services complies with the relevant provider's terms.
10. Data Protection
We process personal data in accordance with UK GDPR and the Data Protection Act 2018, as described in our Privacy Policy. By using the Services, you acknowledge that data you input into the Platform, including data from connected third-party services, will be processed as described in that policy.
11. Warranties and Disclaimers
We provide the Platform on an "as available" basis and take reasonable steps to ensure it is secure and functions as described. However, except as expressly stated in these Terms, we do not give any warranty, condition, or representation that the Platform will be uninterrupted, error-free, or fit for any particular purpose. Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
12. Limitation of Liability
To the fullest extent permitted by law, INTELLIGENCE AI LTD shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Services.
Our total aggregate liability to you in connection with the Services shall not exceed the total amount you paid to us for the specific Plan or service giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under English law.
13. Indemnity
You agree to indemnify and hold INTELLIGENCE AI LTD harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Platform, your breach of these Terms, or your violation of any applicable law or third-party rights.
14. Suspension and Termination
- We may suspend or terminate your Account if you materially breach these Terms, misuse the Platform, or engage in fraudulent or unlawful activity.
- You may stop using the Platform and request closure of your Account at any time by contacting us.
- On termination, your right to access the Platform ends; certain provisions of these Terms (including intellectual property, liability, and governing law) survive termination.
15. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to internet or hosting outages, third-party service failures, natural disasters, or acts of government.
16. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. The "Last updated" date at the top of this page indicates when these Terms were last revised. Continued use of our website or Services after changes take effect constitutes acceptance of the updated Terms.
17. Dispute Resolution and Complaints
We hope to resolve any concerns quickly and directly. If you have a complaint about our Services or these Terms, please contact us first using the details in Section 20. We will acknowledge your complaint promptly and do our best to resolve it.
If you are a UK consumer and we cannot resolve your complaint, you may have the right to use the Online Dispute Resolution (ODR) platform operated by the European Commission or to refer the matter to an approved alternative dispute resolution provider, where available. Nothing in this section prevents you from exercising any statutory rights you may have under UK consumer law.
18. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, save that we may bring proceedings against you in your country of residence where required by applicable consumer protection law.
If you are a consumer resident in the United Kingdom, your statutory rights are not affected by these Terms, including any rights you may have under the Consumer Rights Act 2015 and related consumer protection legislation.
19. Severability and Entire Agreement
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, Purchase Conditions, and Refund & Cancellation Policy, constitute the entire agreement between you and INTELLIGENCE AI LTD regarding your use of the Services.
